3.1 General
This website disclaimer applies to every visit to and every use of Webshopmarket.com and its associated domains, subdomains, web applications, accounts, listings, communication, bidding, payment and information functionalities. By using the Platform, the user accepts that this disclaimer applies alongside the General Terms of Use and Platform Conditions, the Buyer Terms, the Seller Terms, the privacy policy and the cookie statement.
3.2 Nature of the Platform
AK OPERATIONS operates a facilitating and intermediary platform for the purchase and sale of webshops. The Platform makes digital functionalities available through which sellers can place listings and buyers can view and request information, communicate with sellers, make bids and prepare a possible transaction.
AK OPERATIONS is not a seller, buyer, owner, co-contracting party, broker in the legal sense, valuator, accountant, tax adviser, legal adviser, technical auditor, due diligence party, payment service provider, bank, notary, escrow agent, custodian of third-party funds or guarantor of webshops offered via the Platform, unless AK OPERATIONS expressly agrees otherwise in writing.
3.3 Nature of listings
A listing is a presentation, advertisement, description or offer of a webshop that is in principle drawn up or supplied by the seller. A listing may contain, among other things, information about revenue, profit, traffic, conversion, stock, contracts, accounts, software, content, domain names, suppliers, customers, intellectual property rights, privacy aspects, tax aspects, technical dependencies and transferability.
The publication, editing, structuring, categorisation, translation, summary, moderation, ranking, featuring, verification notification, sale status or payment in connection with a listing does not mean that AK OPERATIONS has substantively verified, approved or guaranteed the listing. A designation such as "premium", "featured", "highlighted", "verified", "checked" or similar has only the meaning that AK OPERATIONS expressly states in connection with it.
3.4 Accuracy of information provided by users
Users are themselves responsible for all information that they place, upload, provide, confirm or communicate via the Platform. Sellers warrant that listings and offering materials are accurate, complete, current, verifiable, concrete and not misleading. Buyers warrant that information requests, bids, Sale Confirmations, payment and verification data are accurate, complete, current and not misleading.
AK OPERATIONS may verify information, request additional evidence, amend or remove listings, restrict accounts and take measures upon signals of inaccuracy, deception, fraud, infringement, privacy risks, payment risks, integrity risks or conflict with conditions. However, AK OPERATIONS is not obliged to verify all information in advance or on an ongoing basis.
3.5 No warranties regarding webshops
AK OPERATIONS does not warrant that a webshop exists, is owned by the seller, is freely transferable, is profitable, is technically operational, is legally compliant, is correctly structured for tax purposes, is in order in terms of privacy law, is free of claims or is suitable for the buyer's purpose. AK OPERATIONS likewise does not warrant that revenue, profit, margin, visitor numbers, stock, customer databases, supplier contracts, advertising accounts, payment accounts, social media accounts, software licences, plug-ins, domain names, content or other assets are accurate, complete, transferable or usable.
3.6 No advice
Information on or via the Platform, including listings, valuation tools, templates, checklists, example clauses, reports, labels, intake questions or technical checks, is of a general nature and does not constitute legal, tax, financial, commercial, technical, privacy law or other professional advice, unless AK OPERATIONS expressly agrees in writing to provide this as a separate service.
Buyers and sellers must assess for themselves whether a webshop, listing, bid, purchase agreement, transfer, payment, tax treatment, privacy transfer, contract assignment or technical migration is suitable and lawful, and should engage their own advisers where necessary.
3.7 Duty of investigation of buyers
Buyers are fully responsible for their own investigation of a webshop and for their decision to request information, request Data Room access, make a bid, negotiate, give a Sale Confirmation, make payment or purchase a webshop. The fact that a webshop is on the Platform, that a seller is registered, that information is in a data room, that a label is displayed or that a payment is processed via a payment service provider does not reduce the buyer's own duty of investigation.
3.8 Availability and operation of the Platform
AK OPERATIONS will endeavour to keep the Platform available and operational, but does not warrant that the Platform will operate without interruption, without errors, securely, in an up-to-date manner or free from disruptions. AK OPERATIONS may change, restrict, replace, remove or temporarily take offline functionalities for maintenance, updates, security, migrations or other operational reasons.
3.9 External services and links
The Platform may use or refer to external services such as Stripe, hosting providers, analytics services, consent management tools, communication providers, document storage, map services, video embeds or third-party websites. AK OPERATIONS is not responsible for the content, conditions, availability, security, privacy practices, performance, disruptions, verification decisions, payment decisions, blocks, reserves, chargebacks, refunds or other measures of third parties.
3.10 Limitation of liability
To the extent permitted by law, AK OPERATIONS is not liable for indirect damage, consequential damage, loss of profit, loss of revenue, missed savings, loss of goodwill, reputational damage, loss of data, loss of customers, loss of contracts, business interruption, damage from missed transactions, damage from negotiations, damage from incorrect listings or damage from acts or omissions of other users.
AK OPERATIONS is not liable for damage related to webshops, listings, information from sellers, decisions of buyers, bids, Sale Confirmations, negotiations, purchase agreements, transfer, payment, technical operation, tax consequences, privacy risks, intellectual property rights or other aspects of transactions between users.
To the extent AK OPERATIONS is liable, that liability is limited to the amount paid by the relevant user to AK OPERATIONS in the three months preceding the damaging event for the relevant service, unless mandatory law provides otherwise. This limitation does not apply to the extent damage is the result of intentional or reckless conduct by the management of AK OPERATIONS.
3.11 Reports
Reports concerning incorrect, misleading, infringing, unlawful or unauthorised content may be sent to support@webshopmarket.com. A report must be as specific as possible and should preferably contain the URL or location of the content, the reason for the report, contact details of the reporter and relevant evidence.
3.12 Changes
AK OPERATIONS may amend this disclaimer. The current version is published on the Platform.
